AGREEMENT TO OUR LEGAL TERMS
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and SimplyLead (“Company”, “we”, “us”, “our”), a company registered in Latvia (VAT: LV02120520158), governing access to and use of the SimplyLead website, platform, databases, AI systems, crawling infrastructure, enrichment systems, APIs (if any), and all related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
1. NATURE OF THE SERVICES
SimplyLead is a subscription-based SaaS platform providing automated tools for discovering, indexing, structuring, enriching, and organizing publicly available business information. The Services utilize automated web crawling, indexing systems, pattern detection systems, and AI-assisted technologies.
SimplyLead is strictly a software provider. We are not a data broker, not a marketing agency, not a compliance advisor, not an email service provider, and not responsible for how users utilize discovered information.
We do not guarantee accuracy, completeness, legality, timeliness, performance outcomes, deliverability, conversion results, or business success.
2. ELIGIBILITY AND ACCOUNTS
You must be at least 18 years old and legally capable of entering binding contracts. Registration occurs exclusively via Google authentication. We are not responsible for Google’s availability, authentication errors, outages, suspensions, or security incidents.
You are solely responsible for safeguarding account access and all activity conducted under your account, including activity performed by employees, contractors, or third parties
3. SMTP & EMAIL RESPONSIBILITY
SimplyLead does not send emails on behalf of users. All outbound email transmissions occur exclusively through user-configured SMTP connections. Users bear full responsibility for email content, targeting, opt-in status, legal compliance, and SMTP configuration.
We assume no liability for spam complaints, blacklisting, deliverability issues, account suspensions, domain damage, or regulatory penalties.
4. ENRICHMENT DATABASE & DATA LICENSE
By using discovery or enrichment features, you acknowledge that discovered or enriched store data may be permanently stored in SimplyLead’s database.
Such data may be reused, analyzed, processed, structured, indexed, modified, or made accessible to other users of the platform.
Data remains stored until recrawled inactive or removed following verified correction reports.
You grant SimplyLead a perpetual, irrevocable, worldwide, royalty-free license to store, process, modify, analyze, and redistribute such publicly available business data within platform operations.
5. USER-UPLOADED DATA
Users may upload CSV files or other data. SimplyLead does not verify legality, accuracy, consent status, or compliance of uploaded data.
You assume full responsibility for all uploaded information and any consequences, claims, investigations, or damages arising from its use.
6. AI & AUTOMATION DISCLAIMER
AI-generated outputs may be inaccurate, incomplete, misleading, outdated, or contextually incorrect. Automated crawling may misinterpret website data.
You acknowledge that reliance on AI-generated content is at your own risk.
7. SUBSCRIPTIONS, BILLING & REFUNDS
A limited free plan is available. Paid subscriptions are processed through Stripe. Upon successful payment, access upgrades automatically.
Subscriptions renew automatically unless canceled prior to the next billing cycle.
Refunds are available only within seven (7) days of initial payment. After seven (7) days, all payments are non-refundable.
8. INTELLECTUAL PROPERTY & ANTI-COMPETITIVE USE
All platform software, databases, indexing systems, AI models, crawling structures, algorithms, UI/UX designs, and branding remain exclusive property of SimplyLead.
Users may not reverse engineer, scrape SimplyLead’s internal database, replicate architecture, or use the Services to build competing products.
9. SERVICE MODIFICATIONS & DOWNTIME
We may modify, suspend, restrict, or discontinue any part of the Services at any time without notice.
We are not liable for downtime, outages, infrastructure failures, or maintenance interruptions.
10. COMPLIANCE & LEGAL RESPONSIBILITY
Users are solely responsible for compliance with all applicable laws, including but not limited to GDPR, CAN-SPAM, CASL, and other data or email regulations.
SimplyLead provides software tools only and does not provide legal advice
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless SimplyLead and its officers, employees, and affiliates from any claims, liabilities, damages, losses, regulatory fines, legal costs, or expenses arising from your use of the Services, uploaded data, email outreach, or violation of law.
12. DISCLAIMER OF WARRANTIES
The Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement.
13. LIMITATION OF LIABILITY
To the maximum extent permitted by law, SimplyLead’s total cumulative liability for any claim shall not exceed one hundred U.S. dollars (USD $100), regardless of cause of action.
We are not liable for indirect, incidental, consequential, exemplary, or punitive damages, including lost profits, revenue, business opportunity, or data loss.
14. TERMINATION
We may suspend or terminate accounts at our sole discretion for violation of these Terms or suspected abuse.
Termination does not waive outstanding payment obligations.
15. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of Latvia. All disputes shall be resolved in the courts of Riga, Latvia.
16. SEVERABILITY & ENTIRE AGREEMENT
If any provision is deemed unenforceable, remaining provisions remain valid.
These Terms constitute the entire agreement between you and SimplyLead.
